# Tellop Invited Alpha Terms

**Version:** Alpha 1.0  
**Effective:** when the invited alpha opens

These Terms form an agreement between **Pathnomic Labs FZ-LLC** ("Pathnomic", "we")
and the person or organization accepting them ("you"). They govern the free, invited
alpha of the Tellop desktop application and its supporting services (together,
"Tellop").

## 1. Eligibility and acceptance

You may use the alpha only if:

- Pathnomic invited you and you are at least 18 years old;
- you may lawfully use Tellop in your country and are not subject to applicable trade or
  sanctions restrictions;
- the country and capacity information you provide is accurate; and
- if you accept for an organization, you have authority to bind it.

Tellop is primarily a business and professional tool. You must state truthfully whether
you are acting for business/professional purposes or as a consumer. A genuine consumer
must not select a business status merely to obtain access. If you are a consumer in the
United Arab Emirates, you cannot join this alpha unless and until Pathnomic supplies the
consumer documents and process required for that offering.

By affirmatively accepting the displayed version of these Terms, you agree to them. If
you do not agree, do not create an account, install Tellop or use the service.

## 2. What the alpha is

Tellop is pre-release software for building local application projects with assistance
from third-party artificial-intelligence models. **You are interacting with an AI system,
not a human.** AI-generated material is identified in the product.

The alpha is experimental. Features, model routes, limits and compatibility may change;
some features may be incomplete or unavailable; and the service may contain serious
errors. The alpha is free, carries no service-level commitment and is not a promise that
Tellop will become generally available.

## 3. Limited licence to Tellop

Subject to these Terms, Pathnomic grants you a limited, revocable, non-exclusive,
non-transferable and non-sublicensable licence during the alpha to install and use Tellop
for your own evaluation and permitted project work.

Except where applicable law or an open-source licence expressly permits it, you must not:

- sell, rent, sublicense, redistribute or provide Tellop as a service;
- share your invitation, account, session, installer or access credentials;
- copy, modify or create derivative works of Tellop itself;
- reverse engineer or attempt to extract Tellop's proprietary source code, models,
  security controls or underlying systems;
- evade usage limits, access restrictions or safety controls; or
- use Tellop to benchmark, scrape, distil or train a competing AI model or service.

These restrictions do not limit your rights in Your Content, Outputs or exported project
files as described below.

## 4. Accounts and security

You must provide accurate account information, keep your credentials and device secure,
and promptly notify support@pathnomic.com if you suspect unauthorized access. You are
responsible for activity through your account unless caused by Pathnomic's breach of a
non-waivable legal duty.

Accounts and invitations are individual. You may not automate account creation, transfer
an account or allow another person to use it. Pathnomic may apply credit, request, device
and concurrency limits to protect the service and the alpha cohort.

## 5. Your Content and the operational licence

"Your Content" means your instructions, project files, project context and other
material you submit to Tellop. You retain whatever rights you have in Your Content. This
does not imply that personal data or another person's material becomes your property.

You grant Pathnomic a non-exclusive, worldwide, royalty-free licence during the service
term to use, reproduce, format, adapt, process, transmit and disclose Your Content, and
to create the transient or derivative technical copies necessary, only to:

- provide, secure and support Tellop;
- enforce these Terms and prevent abuse;
- protect legal rights; and
- comply with law.

This licence permits the disclosures needed for the function you use: Cloudflare for
application, authentication, proxy, security and AI Gateway infrastructure; OpenAI,
Anthropic and xAI for requests routed to their models; Nebius B.V. for EU-hosted
DeepSeek and Moonshot inference; Sentry or Aptabase only if you separately enable the
corresponding optional measurement; Polar and its payment providers if billing is later
offered under separately accepted terms; and the disclosed email and support providers
when those functions are used.

Provider-side temporary copies and security or abuse-monitoring records may be created as
described in the [Tellop Invited Alpha Privacy Notice](./app-privacy-notice-en.md).
Pathnomic's proxy is designed not to create prompt-body application logs, prompt caches or
prompt embeddings.

You represent and warrant that you have all rights, permissions, notices, consents and
other lawful basis required to submit and process Your Content. You are responsible for
Your Content and must not submit regulated sensitive data or another person's personal
data or material without lawful authority.

## 6. No model training

Pathnomic does not use Your Content to train models unless you explicitly opt in to a
separate improvement program. Under Pathnomic's current provider arrangements, the AI
providers are not permitted to use Your Content to train their models. Pathnomic will not
introduce an opt-in program through an ordinary Terms update or treat continued use as
consent; any such program requires a separate, informed, prospective choice.

## 7. Outputs and generated projects

"Output" means material generated through Tellop in response to Your Content. To the
extent Pathnomic has any intellectual-property right in an Output, Pathnomic assigns that
right to you. This assignment does not promise that an Output is copyrightable,
non-infringing, accurate or unique, and it does not restrict Pathnomic or another user
from generating, receiving or using identical or similar material.

An Output or exported project may include third-party or open-source material governed by
separate licences. Those licences and third-party rights continue to apply. You are
responsible for reviewing and complying with them before publishing or distributing a
project.

## 8. Acceptable Use Policy

You must use Tellop, Your Content, Outputs and generated projects lawfully and comply with
the versions of the applicable AI-provider policies disclosed when you accept these
Terms. In particular, you must not use them to:

1. violate law, sanctions or export controls, or infringe intellectual-property,
   privacy, publicity, confidentiality or other rights;
2. exploit or sexualize a child, create or distribute child sexual abuse material, or
   facilitate trafficking, grooming or abuse;
3. facilitate terrorism, violent extremism, hateful violence, weapons development,
   physical harm, destruction of property, suicide or self-harm;
4. create or distribute malware, ransomware, credential theft, phishing, denial-of-
   service tools, botnets, unauthorized surveillance or other malicious code;
5. obtain unauthorized access, discover or exploit vulnerabilities without the system
   owner's authorization, intercept communications, bypass authentication, or evade
   Tellop's or a provider's safeguards. Legitimate security testing is permitted only on
   systems you own or are expressly authorized to test and within that authorization;
6. defraud, scam, spam, deceptively impersonate, forge records, misrepresent AI output as
   human-generated where disclosure is required, manipulate people or interfere with an
   election or democratic process;
7. collect, infer, expose, profile or monitor private, biometric, health, financial,
   location or identity information without lawful authority;
8. create or operate a high-risk or regulated system during the alpha, including systems
   used for healthcare, legal services, credit, insurance, employment, housing,
   education admissions, migration, law enforcement, critical infrastructure, product
   safety, biometric categorization or consequential decisions about a person;
9. make a fully automated decision affecting a person's safety, rights, access to a
   service or other material interests. Any consequential use outside the prohibited
   alpha categories requires independent review by a qualified human before action;
10. generate sexually explicit material, exploit a vulnerable person, engage in academic
    dishonesty, or publish deceptive or materially false information; or
11. resell, share or provide access to Tellop, scrape or harvest model behavior, defeat a
    suspension, or impose an unreasonable load on the service.

If a provider materially changes a policy, Pathnomic will disable the affected route or
ask you to accept the new obligation before the route is used again. Pathnomic will not
silently bind you to a materially different future policy merely by linking to a changing
web page.

Pathnomic may block a request, remove access or report conduct when reasonably necessary
to enforce this section, protect people or systems, or comply with law.

## 9. Feedback and confidential alpha information

"Feedback" means voluntary suggestions or ideas about Tellop. Feedback never includes
Your Content or Outputs. You grant Pathnomic a perpetual, irrevocable, worldwide,
royalty-free and sublicensable licence to use Feedback without restriction or payment.

The installer, non-public features, test credentials, security information, roadmap and
other information identified as confidential or reasonably understood to be non-public
alpha information are Pathnomic Confidential Information. You may use them only to test
Tellop and must not disclose them publicly or to an unauthorized person. This restriction
does not cover information that becomes public without your breach, was lawfully known to
you without restriction, is independently developed, or must be disclosed by law. It
does not restrict protected whistleblowing, reporting unlawful conduct to authorities, or
confidential legal advice. Report suspected vulnerabilities to support@pathnomic.com and
do not exploit them beyond the authorized test needed to describe the issue.

## 10. Updates, suspension and the end of the alpha

Tellop may install or require signed updates needed for security, compatibility or alpha
operation. Pathnomic may change or discontinue features and model routes. A material
change to these Terms, the privacy notice or an accepted provider obligation follows
Section 15.

Pathnomic may immediately restrict or suspend access where reasonably necessary because
of a security risk, suspected abuse, material breach, legal requirement, provider
restriction or risk of harm. Where legally permitted and operationally reasonable,
Pathnomic will explain the reason and provide a route to contact support.

You may stop using Tellop at any time. For a planned end of the alpha or termination for
Pathnomic's convenience, Pathnomic will give at least 30 days' notice and maintain access
during that period so you can use Tellop's local project export. Immediate suspension or
termination remains available for the reasons above.

Complete projects remain on your device; Pathnomic does not hold a cloud copy to export.
After service access ends, online and AI features stop and Pathnomic does not promise that
the application will continue to operate. Local files remain under your control. Account
and service data is deleted or retained according to the Privacy Notice.

## 11. No warranties

**Tellop and Outputs are provided “as is” and “as available.”** To the fullest extent
lawfully permitted, Pathnomic disclaims all express, implied and statutory warranties,
including accuracy, availability, security, compatibility, merchantability, satisfactory
quality, fitness for a particular purpose, title and non-infringement.

Outputs may be inaccurate, harmful, incomplete, outdated, non-unique or infringing.
Tellop and Outputs are not professional, legal, medical, financial or other regulated
advice. You must independently inspect, test and review an Output before relying on,
publishing, distributing, executing or otherwise using it. Pathnomic provides no Output
warranty or intellectual-property indemnity.

Nothing in this section excludes a warranty or consumer remedy that applicable law does
not permit Pathnomic to exclude.

## 12. Exclusion of liability

**You accept the following allocation as a conspicuous condition of this free alpha.**
Subject to the exceptions stated below, and to the fullest extent permitted by law,
Pathnomic and its affiliates, personnel, licensors and suppliers have no liability arising
from or relating to Tellop, an Output, a generated project, lost or corrupted data, service
interruption, or your reliance on, publication, distribution, execution or other use of
them. This exclusion covers direct, indirect, incidental, special, consequential,
exemplary and punitive loss, lost profits, lost business, loss of goodwill and loss of
data, whether the claim is contractual, statutory, tortious or otherwise.

If applicable law prevents complete exclusion, Pathnomic owes only the minimum
non-waivable remedy that law requires. These Terms create no USD 100 or other voluntary
minimum payment, service credit, damages entitlement or liability floor.

**This exclusion does not apply to fraud or fraudulent misrepresentation, wilful
misconduct or gross negligence, death or personal injury caused by negligence, or any
liability or statutory right that cannot lawfully be excluded or limited.** It does not
bind a third party or regulator or waive a regulatory duty.

## 13. Business-user indemnity

This section applies only if you accept and use Tellop for a business or professional
purpose, not if you are a consumer. You will defend and indemnify Pathnomic and its
affiliates, personnel and providers against third-party claims, damages and reasonable
costs arising from Your Content, your generated project, your unlawful or prohibited use
of Tellop, your infringement of another person's rights, or your material breach of these
Terms. Pathnomic will promptly notify you of a claim, allow you to control the defence and
settlement, and provide reasonable cooperation at your expense. You may not settle a
claim in a way that admits fault by or imposes an obligation on Pathnomic without
Pathnomic's written consent.

## 14. Governing law and courts

These Terms and the relationship between you and Pathnomic are governed by the laws of
the United Arab Emirates and the applicable laws of the Emirate of Ras Al Khaimah. The
courts of Ras Al Khaimah have exclusive jurisdiction.

If you are a consumer, this section does not limit any right you have under mandatory law
to bring proceedings in the courts of your country of residence or any mandatory local
protection that cannot be excluded by agreement.

## 15. Changes and electronic notices

Pathnomic may make non-material clarifications or changes required by law or security by
posting the updated version and recording its effective date. Pathnomic will give advance
notice of other material changes and ask you to accept them before continued alpha use.
Continued use alone is not acceptance where affirmative consent is legally required.

Operational and legal notices may be delivered to your account email or displayed in
Tellop. Notices to Pathnomic must be sent to support@pathnomic.com unless applicable law
requires another method.

## 16. General

These Terms, the accepted provider-policy versions and any separately accepted alpha
document form the entire agreement about Tellop. The Privacy Notice describes data
handling and does not reduce rights provided by applicable data-protection law.

If a court finds part of these Terms unenforceable, that part will be enforced only to
the lawful extent or removed, and the remainder will continue where the applicable law
permits. This severability clause does not expand the liability exclusion beyond the
express exceptions in Section 12.

Delay in enforcing a right is not a waiver. You may not assign these Terms. Pathnomic may
assign them as part of a merger, reorganization, financing or transfer of the Tellop
business, subject to applicable notice and consumer rights. Neither party is liable for a
delay caused by events beyond its reasonable control, but this does not excuse payment,
privacy, security or other duties that law makes non-waivable.

English and Turkish versions are provided together. They are intended to have the same
meaning. If they differ, the English text controls only to the extent lawful; mandatory
local-language interpretation and consumer rights remain unaffected.

## 17. Open-source software

Third-party open-source components remain governed by their own licence terms. Nothing in
this agreement restricts rights granted by those terms. For components covered by the GNU
Lesser General Public License, you may modify those components for your own use and
reverse engineer Tellop for debugging those modifications. Pathnomic is not required to
warrant, sign or support a modified build.
